Standard Terms & Conditions of Sale
General

All goods supplied by us are sold only upon the following conditions. The placing of an order for any such goods, or the acceptance of our quotation of tender or of delivery of the goods, includes acceptance of the following conditions. Unless expressly agreed by us in writing, any other terms and conditions (including any which may be contained in your order) are excluded. Unless expressly incorporated in our quotation or tender, all descriptions, illustrations, drawings, dimensions, weights, measures, specifications, standards of performance or other descriptive matter or pre-contractual; statements are approximate only and shall not form part of the contract. Our record of any order placed by you verbally shall be conclusive as to the type and quantity of produce and the point and date of delivery.

Validity

Unless previously withdrawn, our quotation is open for acceptance within the period stated therein or when no period is so stated, within 30 days after its date, and is subject to written confirmation by us at the time of acceptance. All goods are offered subject to availability and upon receipt of order.

Delivery

Unless otherwise specified, the price quoted excludes delivery and will be Ex works collection Moosa-Daly warehouses. Delivery can be arranged upon request and will be quoted accordingly if required.

Delivery Terms

Any lead-times quoted for delivery are approximate only and may be subject to change. Moosa-Daly will not be held responsible for any delays caused by Customs Clearance, Manufacturing or any other delays which is beyond our control. The lead-times will only commence after the agreed advance payment is received and cleared funds into our bank account or from our order acknowledgement date if the customer has a credit account facility.

Delay in Delivery

If we do not receive sufficient forwarding instructions within 7 days after notification that the goods are ready for dispatch, you will either take delivery or arrange for storage. Otherwise we shall be entitled to arrange storage on your behalf and at your risk, whether at our own works (a charge of 1.5% of the invoice value of the goods will be added per month). We shall also be entitled to payment as if the goods had been duly delivered. All charges for storage, insurance or demurrage will be payable by you.

Passing of Property

Notwithstanding delivery, all goods supplied by us will remain our absolute property until you pay us in full for them and for all the other goods previously supplied by us. You will store the goods in such a way that they are readily identifiable as our property, but you may, as trustees for us, sell them to a third party in the normal course of your business. Upon any sale by you of the goods (either alone or with other items) all rights, which you have against the buyer, shall automatically vest in us. We shall be entitled, immediately after giving notice of our intention to repossess; to enter upon any premises with such transport as may be necessary and repossess any goods to which we have title under this Clause.

Loss or Damage in transit

Any shortage or damage must be clearly stated upon the driver’s Delivery Note and a written statement of the facts received at our branch and by the Carrier (if not ourselves) within 48 working hours after the date of delivery, otherwise no claim will be entertained. The package and contents should be retained for examination.

Prices

All goods are sold subject to the prices and any relevant discounts ruling at the time of delivery. Our prices, discount rates and Conditions of Sale may be altered at any time without notice. All discounts and prices are calculated upon a “complete order” basis. If, when placing your order you select only certain items or reduced quantities are specified, we must reserve the right to review the discounts and prices at which such orders are accepted.
Prices offered shall be shown exclusive of VAT, and the VAT amount will depend upon the applicable VAT % prevailing at the time of sale. VAT will be shown separately on the invoice.

Payment

Shall be as stated within our quotation or in the case of customers with credit account facilities – in full without retention or set-off shall be due not later than the end of the credit period or on earlier demand. If you do not comply punctually with these terms of payment we reserve the right to charge you interest on any amount overdue and without notice suspend further deliveries until all arrears (including interest) have been paid and, at our option, to rescind any subsisting contract with you as to all or any parts of future deliveries but without prejudice to any rights already accrued to us under such contracts.

Performance

It is your responsibility to determine that the goods are sufficient and suitable for the purpose intended. We cannot accept any responsibility either in respect of the installation of any goods or as to the ultimate performance of any product in which the goods may be installed. We shall in no way be liable for any direct or consequential damage, loss or expense arising from any defect or inefficiency by the manner in which the goods are used.

Defects after delivery

Manufacturer’s warranty for products supplied is valid against manufacturing defects only and will be invalid if the products are installed or operated incorrectly. Our liability under this Clause shall be in lieu of any warranty or condition implied by law as to the quality or fitness for any particular purpose of the goods, and we shall not be under any liability, whether in contract or otherwise, in respect if any defect in the goods delivered or for any injury, damage or loss resulting from such defects or from any work done in connection therewith.

Cancellation

Orders once placed cannot be cancelled. Any advance payment received will be forfeited.

Termination

We may without prejudice to our other rights and remedies determine the contract or any unfulfilled part of it or withhold further deliveries or make partial deliveries if:

  • you fail to make payment on the due date under this or any contract between us;
  • you cancel or suspend or commit any breach of this or any other contract between us;
  • you become insolvent or make any composition with your creditors or have a receiver appointed of all or
  • any part of your undertaking or assets or go into liquidation (save the purpose of amalgamation or reconstruction) and we shall be entitled to recover from you our loss of profit or loss of resale.
Force Majeure

Moosa-Daly will not be liable for any claims or damages in cases where the delivery terms can not be met due to cause beyond its reasonable control.

Waiver

Any failure by us to enforce any or all of the Conditions shall not be construed as a waiver of our rights hereunder.

Product Certificate

Certificates are available upon request only and may be subject to a Manufacturers charge.

UAE LAW AND JURISDICTION

Say where otherwise specifically agreed in writing signed by an authorized signatory of the Purchaser, the Contract shall in all respects be construed in accordance with the laws of United Arab Emirates, as our country of domicile, and the courts of United Arab Emirates shall have exclusive jurisdiction over any dispute or difference arising out of or in connection with the Contract.

Buyers who would like to buy the products listed on the Bin Moosa & Daly Ltd LLC platform must accept the Terms and Conditions that the Bin Moosa & Daly Ltd LLC has set out separately in this site.

Identity and Contractual Capacity:

  1. By using this service, you represent that you have disclosed your true identity or that of your organization.
  2. If you are using this service on behalf of an organization, you represent that the said organization is duly and legally recognized under the relevant laws and that you have been duly authorized to transact on behalf of the said organization.
  3. By using this service you represent that you or your organization has the legal capacity and/or authority to enter into contracts.
  4. We shall not be liable in the event that you or your organization lacks the requisite legal capacity and/or authority to do transactions on Bin Moosa & Daly Limited LLC Website.
  5. Any customer using the website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.
  6. We shall not be liable for contracts concluded with children under the age of Eighteen (18) years or persons of unsound mind.
  7. Cardholder must retain a copy of transaction records and Merchant policies and rules
  8. User is responsible for maintaining the confidentiality of his account.

Registration:

  1. A user account is required to purchase online. However, a guest account is availed in event you don’t have a user account.
  2. To create an account, the following information is required: Name, email address and Postal address.
  3. When you register to use the site you will be asked to create a password. You must keep this password confidential and must not disclose it or share it with anyone. You will be responsible for all activities and orders that occur or are submitted under your password. If you know or suspect that someone else knows your password you should notify us by contacting us immediately (see below for contact details).
  4. We will not be liable for any losses, expenses or damages you suffer, or third party claims made against you, which arise from your having disclosed your username and/or password to a third party.
  5. If Bin Moosa & Daly Limited LLC has reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account.
  6. Bin Moosa & Daly Limited LLC reserves the right to deny you a User Account, or to deny you access to certain or all of the services available to Users via the Site, for any reason in its sole discretion deems fit, including but not limited to breach of these terms and conditions, suspected fraudulent activities, security breach, misuse of the Services and or failure to take delivery of goods.

By registering you shall constitute a warranty that you are the owner of the email address used in the registration process and that all the details supplied are accurate. You agree to indemnify us, and any third party claiming against or through us, from any loss incurred in relation to breach of these warranties. Please note that your account details are confidential and should not be disclosed to other people.

Order Process – Order for delivery

You will have an opportunity to check and correct any input errors in your order until you click the checkout button.

  1. On placing an order the total purchase price, including VAT and Delivery charges will be displayed in the shopping cart prior to confirming the order.
  2. The order will be confirmed on receipt of payment at which point the purchase contract will be made.
  3. When deciding whether or not to accept your order we may use certain information about you, including any received from credit reference agency or other agencies. In particular, we may pass your details to a Credit Reference Bureau for them to check against certain public and private databases. We may keep a record to use in future security checks. This helps to protect you and us against fraudulent transactions.
  4. We will tell you if your payment details cannot be authorized for any reason and may invite you to pay by another method.
  5. Your order shall be serviced by the specific branch from which goods are ordered and MUST be picked from the specific branch within 14 days of placing and paying for the order.
  6. When picking the goods you will be required to provide your National Identity card or passport or driving as proof that you are the purchaser of the goods or the person for whom the goods were purchased.
  7. Where applicable goods shall be delivered to the address provided on ordering the goods. Please ensure that the address on your order is correct.
  8. You will be required to sign proof of delivery on receipt of the goods as assurance that goods have been received in good condition.
  9. Your account shall be suspended in cases of misuse, fraud, failure to pay for orders.

Items sold on this website are generally intended for normal domestic and consumer use and not for resale or commercial use. We reserve the right to refuse access to this website, to remove or edit content, or to refuse or cancel orders at our discretion. If we cancel an order, it will be without charge to you, and we will reimburse any payment made by you.

Prices and Payment

  1. All prices and charges on this site are in United Arab Emirates Dirhams (AED). They include any VAT payable, but exclude delivery charges.
  2. The total cost of your order will be the price of the products you order, any additional services you choose (e.g. installation), plus any applicable delivery charge. All these will be set out clearly in your Shopping Basket/cart before you submit your order.
  3. We try very hard to ensure that all information on this site is accurate. However, just occasionally, an error can occur. If we discover an error in the price or description of a product you have ordered, we will tell you and ask you whether you wish to continue with your order or cancel it.
  4. For delivery items we accept payment by MasterCard, Visa and Bank Transfer. Payment is deducted when we process your order.

Missing, Damaged or Incorrect Orders

  1. We try very hard to ensure that you receive your order in pristine condition. If you do not receive all your products, please inform us immediately by phone call at the time of delivery.   2. PLEASE NOTE THAT NOT ALL GOODS ARE RETURNABLE AND ITEMS MUST BE RETURNED IN THE ORIGINAL MANUFACTURER’S PACKAGING.

  4. Items purchased must be returned to the branch from which they were ordered within 7 days of delivery or pickup.

Mode of Communication

  1. By using this service you agree to the mode of communication is electronic and in particular through the internet. You agree that any communication either from you or us shall be electronic and in particular through the internet.
  2. You agree that any agreements, contracts and/or other correspondence pertaining to the said agreements or contracts shall be electronic/internet-based. Any legal requirement as to form, for example, the requirement that the agreements or contracts be in writing, shall be deemed to be satisfied by the conclusion of the said agreements or contracts electronically through the internet, unless the specified otherwise by the relevant law.

We reserve the right to amend or vary any provision of these Terms and Conditions at any time. Any such amendment or variation shall be binding on you as at the time they are posted on this site.

Office Foreign Assets Control (OFAC) Sanctioned Countries

Bin Moosa & Daly Limited LLC will not trade with or provide any services to individuals and companies owned or controlled by, or acting for or on behalf of, OFAC targeted countries AND individuals, groups, and entities, such as terrorists and narcotics traffickers designated under the OFAC programs that are not country specific.

Governing Law and Jurisdiction of Courts

The interpretation, construction and performance of these Terms and Conditions shall be governed exclusively by United Arab Emirates law and you expressly submit to the exclusive jurisdiction of the United Arab Emirates Courts.

Delivery Information
Where do we deliver

Delivery must be to an address within the United Arab Emirates territory. We have partnered with Aramex to ensure professional and timely deliveries. Please make sure you keep the receipt enclosed with your goods.

Delivery Charges

We make every effort to keep delivery charges as low as possible. The charge depends on the distance you select and on the weight of the product you are purchasing. You only pay one delivery charge, irrespective of the number of products ordered.You will be informed of the delivery charge at checkout.

How We Deliver

Most products are delivered by courier. Very occasionally different products in the same order may be delivered separately. Depending on the product you purchase, our own logistics team might deliver the product. You will be informed of the delivery method at checkout.

Delivery Times

Courier should arrive within 3-4 working days of placing your order (to be safe, please allow a little extra during busy sale periods). You will receive a tracking number by email after the order has been processed by our team (usually same day). Delivery times are calculated in working days – i.e. Sunday to Thursday inclusive (excluding public holidays). If you order after 12.00 pm, please calculate your delivery time as if your order had been placed the following working day. Standard courier deliveries are usually made between 9am and 5pm.You will be informed of the approximate delivery time at checkout.

IMPORTANT:

We do everything we can to meet the delivery times specified in this section. However, occasionally delivery times may be affected by factors beyond our control and therefore they cannot be guaranteed. We will inform you if we become aware of an unexpected delay.Please allow extra time for deliveries to outside Nairobi or if you apply for credit (we need to receive your signed application form back before we can process your order; this can add 5 working days).

Refund & Return Policy
  • We only accept returns if products are faulty or damaged.
  • Proof of purchase is required for any return to be considered.
  • Items must be returned to any of our branches within 7 days of delivery or pickup
  • Reports of damages must be made within maximum 24 hours of pick up or delivery by filling in the Return Form. Once the form was successfully submitted, you can proceed to returning the product at the selected branch.
  • Reports of faults are subject to product warranty as per manufacturers’ T&C’s.
  • If a product is returned then the packaging must be intact.

  • Refunds will be made back to the payment solution used initially by the customer. Please allow for up to 45 days for the refund transfer to be completed.
  • This policy is only valid for items purchased through our online website. Items purchased as direct sales in our branches or through our sales teams are governed by different Terms & Conditions as received in your invoice.
  • Manufacturer’s warranty for products supplied is valid against manufacturing defects only and will be invalid if the products are installed or operated incorrectly. Our liability under this Clause shall be in lieu of any warranty or condition implied by law as to the quality or fitness for any particular purpose of the goods, and we shall not be under any liability, whether in contract or otherwise, in respect if any defect in the goods delivered or for any injury, damage or loss resulting from such defects or from any work done in connection therewith.

Cancellation Policy

Orders once placed cannot be cancelled. Any advance payment received will be forfeited.
